GOVERNING LAW Any claim relating to South Fitness Club’s website shall be governed by the laws of the State of Dubai without regard to its conflict of law provisions. “United Arab Emirates is our country of domicile” and stipulates that the governing law is the local law. “We will not trade with or provide any services to OFAC and sanctioned countries.”
FITNESS SERVICES PROVISION AGREEMENT
South Fitness Club (Civil Company, Professional License No. [License Number]), hereinafter referred to as the “Club,” on the one side, and [Customer’s Full Name], hereinafter referred to as the “Customer,” on the other side, hereinafter collectively referred to as the “Parties,” have entered into the following Agreement:
1. Definitions and Concepts
1.1 Club Guest: An individual who is not a Club Customer and visits the Club for a trial session, as a guest, or a one-time visitor.
1.2 Club Customer: An individual who has entered into a contractual relationship with the Club by signing the Questionnaire and paying for a subscription according to the tariff plan, type, and cost valid at the time of subscription purchase.
1.3 Customer’s Questionnaire: A document confirming the Customer’s consent to the terms of service provision as detailed in the appendix to this Agreement.
1.4 Membership Card: A personal card that identifies an individual as a Club Customer and confirms the right to use the Club’s Services.
1.5 Services: The provision of access to training sessions within the “CardioFit,” “Strength Training,” “Yoga,” “Pilates,” and “Functional Training” programs, conducted in groups, small groups, or individually according to the Club’s schedule. This includes booking services for the Customer in group sessions, request administration, permit creation, and subscription provision.
1.6 Services Provision Schedule: Sunday to Saturday from 7 am to 10 pm.
1.7 Services Provision Location: The Club’s training facilities.
1.8 Trainer: A person engaged in conducting training sessions during the provision of Services to the Customer.
3. Payment Procedures
3.1 The Customer is provided with the Services once payment is made for one of the following subscription options:
3.2 The subscription cost is determined by the Club, and the Customer will be informed according to the official price list.
3.3 The Customer agrees to the service cost valid at the time of payment and confirms that they have read and accepted the current Service costs upon signing the Questionnaire.
3.4 The Customer shall pay the subscription cost in full in [currency] by depositing cash at the Club’s cash desk, using a bank card via the Club’s POS machine, or through the online client portal or mobile application.
3.5 If the Agreement allows for installment payments, the Customer shall make payments in two equal installments before the deadline.
3.6 The Customer will be issued a Membership Card upon full payment, which must be presented to the Administrator at each visit to confirm payment.
3.7 In case of Membership Card loss, the Customer must notify the Club Administration immediately (within 24 hours) and pay the restoration fee as per the current price list.
3.8 Membership Cards are not required for trial classes. If the Membership Card or proof of payment for a trial or one-time class is absent, the Customer may attend classes by presenting an identity document (such as a passport or driver’s license) and registering in the program.
3.9 Payment for Services under this Agreement must be made in advance for the Services to be provided during the relevant period.
3.10 The Customer’s refusal to pay for the Services does not exempt them from financial obligations under this Agreement. The Customer must independently and timely fulfill payment obligations.
3.11 If the Customer fails to adhere to installment payment terms, they will be deprived of the right to access the Club until payment is made in accordance with this Agreement.
3.12 The Club’s obligations to the Customer are considered fulfilled upon the expiration of the Agreement term and the subscription.
4. Suspension, Termination, and Amendment of the Agreement
4.1 Payments made are non-refundable in cases of unilateral refusal from subscription services by the Customer or upon expiration of the Agreement term. The Club has a no refund policy.
4.2 This policy reflects the Club’s expenses related to booking services, subscription creation, and training preparation for a Customer who did not utilize the acquired Services.
5. Rights and Obligations of the Parties
The Club agrees to:
5.1 Issue a Membership Card upon full payment of the subscription fee.
5.2 Provide additional services at the Customer’s request for an extra fee as per the official price list.
5.3 Allow the Customer to participate in group classes according to the Club’s schedule and the trainer’s availability.
5.4 Ensure the quality of Services according to the Club’s methodology and training schedule.
5.5 Maintain the proper functioning of equipment and inventory used in Services provision.
5.6 Unilaterally change:
The Customer agrees to:
5.7 Comply with and not violate the terms of this Agreement and the Club’s rules.
5.8 Pay the subscription cost timely and in full.
5.9 Pay for Services in accordance with this Agreement.
5.10 Not transfer the Membership Card to third parties or assign their rights under this Agreement to others without the Club’s consent.
5.11 Carry the Membership Card and present it at the reception desk for visit registration. Pay the cost for a new card if the original is lost.
5.12 Regularly review the Club’s class schedule.
5.13 Handle the Club’s property with care.
5.14 Use the Club’s equipment properly and report any violations or damage to Trainers or Administrators immediately.
5.15 Avoid using faulty equipment and immediately report any issues or unknown usage rules to prevent injury.
5.16 Confirm that there are no medical contraindications to participating in the chosen programs.
5.17 Undergo a medical examination to determine suitability for the Club’s programs and identify any medical contraindications before starting classes.
5.18 Undergo a medical examination at least once a year or more frequently if requested by the Club.
5.19 Follow all recommendations and instructions provided by the Club’s Trainers regarding equipment load and usage.
6. Responsibilities of the Parties
6.1 Customer Liability: The Customer is liable for any damage caused to the Club’s property. The cost of repair or replacement of damaged or lost property will be charged to the Customer. The Club reserves the right to offset the cost of such damages against any prepaid but unused services.
6.2 Customer Acknowledgment: By signing the Questionnaire, the Customer confirms they have read and understood the Agreement, the Club’s service provision rules, and training regulations. The Customer acknowledges they do not have any medical or other contraindications for participation in the Club’s programs and that their physical condition is suitable for the program chosen. The Customer is responsible for any health deterioration or injuries that occur during the Services.
6.3 Limitation of Liability: The Club is not liable for any health issues or injuries experienced by the Customer.
6.4 Health-Related Harm: The Club is not responsible for health-related harm resulting from acute illnesses, injuries, chronic illness exacerbations, or misuse of equipment.
6.5 Studio’s Responsibility: The Club is responsible for harm caused to the Customer’s health only if it results from the Club’s direct actions aimed at causing such harm.
6.6 Exclusions of Liability: The Club is not responsible for harm resulting from:
6.7 Third-Party Actions: The Club is not responsible for harm caused to the Customer’s health or property by third parties.
6.8 Accidents: The Club is not responsible for any accidents that occur within the Club. By becoming a Customer, the individual voluntarily assumes all responsibility for their own safety.
7. Dispute Resolution
7.1 Amendments: Amendments and additions to the Agreement must be made through bilateral agreements and will form an integral part of this Agreement.
7.2 Dispute Resolution: Disputes or disagreements arising from or related to this Agreement will first be resolved through negotiation between the Parties.
7.3 Legal Action: If disputes cannot be resolved through negotiation, they will be addressed by the courts in accordance with UAE legislation.
8. Final Provisions
8.1 Right to Refuse: The Club reserves the right to unilaterally terminate compliance with the Agreement terms, with a refund for any unused services.
8.2 Third-Party Involvement: The Club may engage third parties to provide Services.
8.3 Club Rules: The Club’s visiting rules are an appendix to this Agreement and form an integral part. The Customer agrees to these rules by accepting the terms of this Agreement.
8.4 Changes in Terms: The Club may change its operating hours, class schedules, pricing, and service terms. The Customer will be notified of such changes via the Club’s website or reception desk at least 1 (one) day before the changes take effect.
8.5 Rules Amendments: The Club may amend or add to its Rules and Safety Regulations. The Customer is considered to have accepted these changes 5 (five) calendar days after they are posted on the Club’s information stands, media, or website.
8.6 Personal Data: By signing the Questionnaire, the Customer consents to the Club’s use, processing, and storage of their personal data. The Customer also permits the Club and its partners to send promotional materials via telephone and email. The Customer must inform the Club if they wish to opt out of receiving such communications.
8.7 Video Monitoring: The Customer acknowledges and agrees to video monitoring of the Club’s training rooms, corridors, and hallways for security purposes.
8.8 Accession Contract: This Agreement is an Accession Contract. Acceptance of its terms by the Customer is completed by filling out and signing the Customer’s Questionnaire.
ANNEXES TO THIS AGREEMENT:
1. GENERAL RULES:
1.1 Scope and Definitions: These Rules govern the relationship between SOUTH FITNESS CLUB (hereinafter referred to as the “Club”) and its trainers, employees, potential and regular customers, and guests regarding the fitness services provided by the Club. The Club’s facilities include all locations and rooms equipped with special technical equipment for physical training, located at [Club’s Address], [City], [Country].
1.2 Customer Definition: A Customer is an individual who has entered into a contractual relationship with the Club by completing the registration form and purchasing a subscription according to the current pricing and plans. Customers must adhere to these Rules. The Club may unilaterally amend or supplement these Rules, with such changes communicated to Customers.
1.3 Guest Definition: A Studio Guest is an individual intending to engage in physical training to improve physical qualities, maintain health, or prevent disease, without any medical contraindications.
1.4 Operational Hours: The Club operates from Sunday to Saturday, 7 am to 10 pm. The Club reserves the right to alter its hours or the availability of specific areas. The schedule will be posted on information stands, on the Club’s website, or otherwise communicated to Customers. Customers must vacate the premises before the Club closes.
1.5 Personal Data: When completing the registration form, Customers must provide their full name, address, identity document details (passport or driver’s license), phone number, date of birth, and email address.
1.6 Service Costs: The cost of services and subscriptions is determined by the Club and posted on information stands, the Club’s website, or communicated to Customers. The Club may offer special promotions or lower prices. Services must be paid for immediately before or after their provision.
1.7 Subscription Terms:
2. TRAINING VISITING RULES
2.1 Group Program Access: The Club reserves the right to prohibit Guests from participating in group programs at its discretion.
2.2 Registration Requirements: All Guests and Customers must register at the reception and provide personal data, including name, date of birth, contact information, and identity verification. Entry may be denied if this information is not provided.
2.3 Plastic Cards: Access to the Club requires a plastic card issued to the Customer, which is non-transferable. The card must be presented at each visit.
2.4 Card Usage: Plastic cards must be presented to the administrator before each session. For trial or one-time sessions, identification documents can be used in place of the plastic card.
2.5 Card Transfer: Plastic cards are non-transferable. Services are provided only to the Customer whose name is on the subscription.
2.6 Card Withdrawal: The Club may withdraw a plastic card and deny access if misuse or non-compliance is detected.
2.7 Subscription Re-registration: Re-registration of subscriptions is available only in person with proper identification and the presence of the new cardholder. Renewed subscriptions are not eligible for refunds or changes.
2.8 Subscription Transfer: Transfers are only permitted after official re-registration with additional costs as applicable.
2.9 Fee for Replacement: A fee may be charged for issuing a replacement plastic card according to the current tariff plans.
2.10 Access Key/Bracelet: Access to locker rooms is granted with a key or bracelet in exchange for a plastic card or proof of a paid trial or one-time session.
2.11 Key/Bracelet Deposit: If a plastic card is not available, a key or bracelet may be provided in exchange for a deposit or identification document.
2.12 Training Reservation: All training sessions must be booked in advance via the Club’s website, mobile app, or by phone. Payment is required for trial and personal training sessions.
2.13 Booking Limits: Customers may book up to 3 sessions in advance.
2.14 Cancellation Policy: Cancellations must be made at least 3 hours before the session starts during business hours, or 24/7 through the app or web portal. Failure to cancel incurs a charge or reduction in subscription validity.
2.15 Group Training Minimums: Group sessions require at least 3 participants who have booked in advance. The Club may cancel sessions with insufficient participants.
2.16 Late Arrival: Arriving more than 10 minutes late may result in the Customer being denied entry, with charges applicable according to the subscription type.
2.17 Internal Tracking: The Club uses an internal system to track services provided. This data is considered conclusive in case of disputes.
2.18 Storage and Responsibility: Each Customer is provided with a locker. The Club is not responsible for lost or forgotten personal items.
2.19 Hall Use: Certain areas may only be used during individual sessions or as scheduled. Studio rental requires prior booking.
2.20 Age Restrictions:
2.21 Pregnancy: Pregnant Customers may only participate in specific programs with medical clearance. The Club and instructors may deny participation if deemed unsafe.
2.22 Event Restrictions: The Club may restrict access to certain areas during events.
2.23 Guest Visits: Customers can invite adults for guest visits if permitted by their subscription plan.
2.24 Guest Access: Guest visits are available only under the terms of the Customer’s subscription.
2.25 Facility Use: Certain areas of the Club are reserved exclusively for individual sessions with Club trainers. Independent training in group program areas is allowed only when these areas are not scheduled for group activities or reserved for individual training. All facility rentals must be arranged in advance by contacting the Club Manager. For detailed information on renting zones or halls, please reach out to the Club Manager.
2.26 Age Restrictions: Individuals under 18 years of age are prohibited from participating in group training sessions unless they have obtained prior approval from Club Administration and have submitted a corresponding request.
2.27 Age-Appropriate Training: Individuals under 18 years old may participate in training sessions appropriate for their age group, during designated time slots as per the Club’s schedule.
2.28 Training for Older Children: Children aged 16 and older may attend adult group sessions for programs such as AEROSTRETCHING® and Split School, provided they are accompanied by a parent or guardian.
2.29 Training for Younger Children: Children under 16 years old may use the Club’s facilities if accompanied by an adult.
2.30 Adult Training Access: Individuals aged 18 and over have unrestricted access to all training types offered at the Club.
2.31 Pregnancy and Training: It is prohibited for pregnant women to participate in training sessions not specifically designed for their condition. Participation is only allowed with appropriate recommendations from a healthcare provider. The Club Administration and trainers reserve the right to prevent participation if deemed unsafe.
2.32 Event Restrictions: The Club may impose restrictions on certain areas during special events or activities.
2.33 Guest Visits: Customers may invite individuals over 18 years old to the Club for a guest visit if this is included in their subscription plan.
2.34 Guest Visit Terms: Guest visits are permitted only within the terms of the Customer’s current subscription.
3. CUSTOMERS MUST COMPLY WITH THE FOLLOWING REQUIREMENTS:
3.1 Sports-Related Risks: Customers are personally responsible for all risks associated with physical activities while visiting the Club.
3.2 Medical Examination: Customers are required to undergo a medical examination at a specialized facility to determine their suitability for participation in the Club’s programs and to identify any potential medical restrictions.
3.3 Disclosure of Contraindications: Customers (or their guardians for minors) must verbally inform the Club Manager or Trainer of any medical contraindications. They are also responsible for any health consequences that may arise during or after participation in activities, particularly if they have not disclosed such contraindications.
3.4 Responsibility for Non-Disclosure: Customers are responsible for their own health and safety if they fail to inform the Manager or Trainer about their medical contraindications.
3.5 Reporting Illness: Customers (or their guardians for minors) must immediately report any symptoms of illness or discomfort to a Trainer or Manager.
3.6 Timeliness: Customers should arrive on time for their training sessions to avoid any risk of injury. Trainers are authorized to deny entry to training if the Customer is late.
3.7 Adherence to Instructions: Customers must follow the Trainer’s instructions during training sessions.
3.8 Care for Club Property: Customers should take care of the Club’s property. The Club is committed to maintaining cleanliness and order in all areas.
3.9 Liability for Damage: Guests and Customers are responsible for any loss or damage to the Club’s property (including keys, bracelets, and membership cards). They are required to compensate the Club for any damage as specified by the Club.
3.10 Use of Equipment: Avoid using faulty or unfamiliar equipment. If the usage rules are unknown, seek assistance from the Club staff.
3.11 Hygiene Standards: Remove outer clothing and wear appropriate shoe covers to maintain hygiene. The Manager or Trainer may prohibit participation if Customers are wearing street shoes or inappropriate clothing. For specific programs, like AEROSTRETCHING®, Customers must wear a T-shirt that covers the armpits.
3.12 Appropriate Attire: Enter training zones wearing appropriate training attire, including clean socks or suitable footwear. For AEROSTRETCHING®, a T-shirt covering the armpits is required.
3.13 Caution in Facilities: Move carefully in locker rooms, showers, and other areas to avoid accidents.
3.14 Disposal of Items: Dispose of used cups and other items in designated bins.
3.15 Returning Equipment: Return all sports equipment to its designated place after use.
3.16 Hygiene and Cleanliness: Follow personal hygiene practices and help maintain the cleanliness of the Club’s premises.
3.17 Secure Personal Items: Do not leave personal items unattended.
3.18 Behavior and Etiquette: Maintain politeness and sportsmanship on Club premises. The use of profanity, indecent behavior, or actions that disrupt training or discredit the Club, its Customers, or staff is prohibited.
3.19 Respect and Courtesy: Show respect and courtesy towards other Customers, Club staff, and third parties, as well as towards their property.
4. CUSTOMERS ARE PROHIBITED FROM:
4.1 Climbing: Climbing on roof railings or over railings is strictly prohibited.
4.2 Smoking and Intoxication: Smoking (including electronic cigarettes) and being in the Club’s premises, on the roof, or balcony while intoxicated is not allowed.
4.3 Intoxicated Individuals: The Club Administration reserves the right to refuse entry to individuals who are intoxicated or displaying inappropriate behavior.
4.4 Unaccompanied Roof Access: Access to the roof is prohibited unless accompanied by a Trainer or Club Representative.
4.5 Inappropriate Use: Using the Club’s Services while feeling unwell, suspected of an injury, or during an infectious or chronic disease exacerbation is prohibited.
4.6 Misuse of Equipment: Using training equipment for purposes other than its intended use or outside the training process is not allowed.
4.7 Eating: Consuming food in training areas, recreation zones, and locker rooms is prohibited.
4.8 Breakable Containers: Glassware or other breakable containers for drinks or meals are not permitted. Only plastic cups and containers should be used.
4.9 Hazardous Substances: Bringing or storing hazardous substances or objects, including explosives, flammable materials, toxic substances, radioactive materials, weapons, and sharp objects, is prohibited to ensure safety.
4.10 Prohibition Enforcement: The Club Administration has the right to enforce prohibitions related to hazardous items.
4.11 Inappropriate Behavior: Using profanity, speaking loudly, disrespectfully, or aggressively, and engaging in behavior that disrupts others is prohibited.
4.12 Unapproved Storage: Leaving personal inventory for storage in the Club without prior consent from the Club Administrator is not allowed.
4.13 Media Equipment: Independently adjusting television panels, sound volume, or using media equipment without permission is prohibited.
4.14 Music Choice: The Club selects the music played within the premises. It is recommended to use personal music devices with headphones if the Club’s music is disruptive. Personal devices should not pose a health risk.
4.15 Odor-Producing Products: Using perfumes, ointments, or other cosmetic products with strong odors that may spoil or pollute the Club’s equipment and environment is prohibited.
4.16 Jewelry During Training: Wearing jewelry during training is not allowed. The Club is not responsible for lost or damaged jewelry.
4.17 Subscription Transfer: Transferring subscriptions to other Customers or third parties is prohibited.
4.18 Restricted Areas: Entering technical or staff-only rooms is not allowed.
4.19 Unauthorized Activities: Placing inscriptions, announcements, advertising materials, conducting surveys, or engaging in business activities within the Club without permission is prohibited.
4.20 Personal Data Collection: Collecting or distributing personal data of Customers or staff using any methods is prohibited.
4.21 Photography and Recording: Conducting professional photo shoots, recording training sessions, or using smartphones for photo/video purposes without written permission from the Club Administration is not allowed. All materials must be approved by the Club.
4.22 Household Appliances: Bringing and using household appliances within the Club premises is prohibited.
5. OTHER TERMS
5.1 Compliance Monitoring: The Club Administration is responsible for ensuring adherence to these rules.
5.2 Fees for Lost Items: Customers must pay the following fees at the Club’s request for lost items:
5.3 Forgotten Items: Items forgotten in the Club’s premises will be stored for a maximum of one month from the discovery date before being disposed of. The Club is not responsible for lost or left items.
5.4 Reporting Lost Items: Report any lost or forgotten items to the Club reception immediately.
5.5 Locker Use: All lockers must be cleared of personal belongings after training, and the key should be returned to the Club Manager.
5.6 Lost Locker Key: Notify the Club immediately if a locker key is lost to prevent potential misuse.
5.7 Property Condition: Property is considered to be in good condition if no claims are made upon receipt.
5.8 Vehicle Responsibility: The Club is not responsible for vehicles left in the adjacent area.
5.9 Damage by Third Parties: The Club is not liable for damage to Customer property caused by third parties.
5.10 Non-Customers: The Club is not responsible for any injury or damage to individuals who are not Customers and are in the Club without permission.
5.11 Technical Issues: The Club is not liable for technical inconveniences caused by city services, utilities, or maintenance work. No compensation will be provided for such issues.
5.12 Force Majeure: In cases of force majeure not caused by the Club, the Club may limit Services unilaterally without offering compensation.
5.13 Media Use: The Club may use photos and videos of visitors and events for promotional purposes. If a Customer objects, they must inform the Club prior to their visit.
5.14 Agreement Amendments: The Club reserves the right to amend the terms of this Agreement in the event of facility reconstruction, repair, or closure due to unforeseen circumstances.
5.15 Rule Violations: The Club may revise or terminate the Agreement and refuse Services if Customers violate rules or fail to comply with instructions.
5.16 Confidentiality: All personal data of Customers and staff is confidential and cannot be disclosed except as required by UAE law.
5.17 Dispute Resolution: Disputes regarding the interpretation and enforcement of these rules will be resolved through negotiation. If unresolved, they will be handled according to the law.
5.18 Legal Framework: Matters not covered by these rules will be governed by UAE legislation.
5.19 Amendments and Compensation: Amendments to the rules and exercise of rights by the Club do not entitle Customers to any compensation.
